Ms. Hegazi is a member in the Mergers and Acquisitions and Capital Market Departments since 2017.
Ms. Hegazi’s areas of expertise include Civil Law, Companies Law, Capital Market Law, Construction Law, Labor Law, Intellectual Property Law, oil and gas and general corporate affairs.
She also assisted in conducting multiple due diligences on target companies in different sectors of activity and has been involved in major initial public offerings, mandatory tender offers (“MTO”), listing and de-listing, and private placements including the drafting of international prospectus, offering memorandums, public subscription notices, and MTO files
Further, in the context of mergers and acquisitions, Ms. Hegazi has assisted various local and international clients on transaction documents, deal negotiations and due diligence, sale purchase agreements, shareholders’ agreements and escrow agreements. Additionally, she has experience in drafting civil and commercial agreements including franchise, commercial agency, distributorship, sale, marketing, supply, customs clearance, assignment, lease, forbearance, brokerage and services provision, and corporate resolutions.
Ms. Hegazi obtained a Master II in Construction Urbanism & Contract Law, Paris I Pathéon Sorbonne and a Master I (equivalent to LL.M degree) in International and European Business Law from Paris 1 Pantheon-Sorbonne in association with Cairo University (“IDAI”) as well as a double formation in Egyptian and French Law (an LL.B in International and European Business Law with Honours from Paris 1 Pantheon-Sorbonne in association with Cairo University “Licence en Droit des Affaires Internationales et Européennes” and an LL.B in Egyptian Law from Cairo University). She was registered in the Egyptian Bar Association since 2015.
