Rana El-Nahal

Rana El-Nahal is a partner in the Corporate and M&As Group. She has been providing legal advice to clients across diverse industries for the past 15 years.

She advises clients on mergers and acquisitions (M&As), joint ventures (JVs), private placements, corporate restructurings, business and asset transfers, complex settlements, licenses and regulatory approvals and general corporate matters.

Rana El-Nahal also specializes in drafting, reviewing and negotiating different types of business contracts. She regularly drafts and negotiates intricate multiparty agreements, and precedents.

Rana El-Nahal was named a “Rising Star” by IFLR 1000 in 2021 and 2022. She obtained a Masters’ Degree from Georgetown University in 2014, where she graduated with Distinction and was placed on the Dean’s List. She obtained a Bachelor of Laws’ Degree from Cairo University in 2008.

Her professional experience includes:

  • Representing Sika AG in its acquisition of 50% of MBS Construction Chemicals Egypt and 4% of MBS Construction Chemical Trading from United Holding Company and Middle East Sealants & Adhesives (MESA), both indirect subsidiaries of Orascom Construction for USD 100 million;
  • Representing the majority shareholder of B.TECH for Trade and Distribution S.A.E in the acquisition by SEIC of 33.4% indirect stake in B.TECH from African Development Partners II, a fund owned by Development Partners (DPI) for USD 150 million;
  • Representing the subsidiaries of Edra (Port Said East Power “PSEP”, Suez Gulf Power “SGP” and Sidi Krir Generating Company “SKGC”) in the transfer of the electricity complexes established by virtue of Build-Own-Operate-Transfer agreements (BOOT) to the Egyptian Electricity Holding Company (EEHC);
  • Representing Cleopatra Hospital Company (CHC) in the acquisition of the business and assets of Bedaya by a joint venture between CHC and the founders of Bedaya;
  • Representing Sika AG in its indirect acquisition, through its Egyptian Subsidiary Sika Egypt, of 98.89% of the shares of Modern Waterproofing Company, a listed company and market leader/manufacturer of roofing and waterproofing systems. The transaction value was approximately EGP 500 million;
  • Representing Cairo for Real Estate and Investment (CIRA) in its indirect acquisition of a majority stake of the company owning British Columbia Canadian School (BCCIS);
    Representing CIRA in its joint venture with the Sovereign Fund of Egypt (SFE);
  • Representing the shareholders of B.TECH in the private placement of an indirect 33% stake in B.TECH to Development Partners International (DPI);
  • Representing Galala University in the agreements entered into between Galala University and Arizona State University to offer students a dual degree program;
  • Representing SOREAL ILOU in its joint venture with International Company for Food Industries (“ICFI”) to manufacture and distribute high quality sauces;
  • Representing R&R Ice Cream plc, as local counsel, in the sale of its assets to Froneri, a new joint venture between Nestlé and R&R combining their ice cream activities in 20 different countries; and
  • Representing Sanad Fund for MSME in its acquisition of a minority stake of Global Leasing Company (a subsidiary of Wadi Degla EgyPro Holding).
